1. Object and Acceptance of Terms

These Terms and Conditions regulate the purchase of licenses, services, and gift cards at RFJ Software. By using the platform or registering, you accept this electronic contract (in accordance with the Electronic Commerce Law of Ecuador). RFJSOFTWARE C.L. reserves the right to modify these terms at any time to adapt them to legislative or commercial changes. Modifications will take effect upon their publication on the portal and will not have a retroactive effect on purchases already processed. In ongoing subscription services, significant modifications will be notified to the user at least 15 days in advance.

2. Provider Identification

The service provider is the company RFJSOFTWARE C.L. (commercial name "RFJ Software"), incorporated in Ecuador, with RUC 1793209941001, address in Quito, Ecuador, and email [email protected].

3. Services, Products and License System

RFJ Software commercializes digital activation licenses for software and rechargeable gift cards. The client receives a digital activation serial key. Reproduction, resale, or reverse engineering of the licensed software systems is prohibited.

4. Prices, Billing and Payment Methods

Prices are expressed in United States Dollars (USD) and include legal taxes (such as VAT), unless otherwise indicated. Electronic invoicing is automatically issued through Contifico/SRI. Payments are securely processed by PayPhone Ecuador.

5. Withdrawal and Returns

In accordance with Art. 45 of the Organic Consumer Defense Law (LODC), since these are electronic purchases, the client has a period of 5 days to exercise their right of withdrawal, provided that the digital product has not been consumed, the license has not been activated, or the service has not started execution.

6. Intellectual Property

All software, trademarks, logos, and contents belonging to this platform are the exclusive property of RFJSOFTWARE C.L. and are protected by the Código Orgánico de la Economía Social de los Conocimientos, Creatividad e Innovación (Código INGENIOS) of Ecuador. Third-party trademarks, logos, and technology names (such as Python, Redis, AWS, etc.) displayed on the portal are the exclusive property of their respective owners and are presented solely for technical compatibility or usage information purposes, without implying affiliation, sponsorship, or endorsement by their owners.

7. Limitation of Liability and Warranties

RFJ Software guarantees the correct operation of the software under the indicated specifications. In accordance with the LODC, we do not exclude liability for hidden defects of manufacture or origin of the product. Our liability for proven direct damages is limited to the value paid for the product or service.

8. Personal Data Protection

Any processing of personal data derived from this contract will be strictly governed by our Privacy Policy and in accordance with the Organic Personal Data Protection Law (LOPDP) of Ecuador.

9. Applicable Law and Jurisdiction

This contract is governed by the laws of the Republic of Ecuador. To resolve disputes, the parties submit to the mediation process in a legally established Mediation and Arbitration Center in Quito, Ecuador. In case of not reaching an agreement, they will submit to the competent civil judges of the Quito canton. The main contact is [email protected].

10. Accounts, Credentials and Security

The user is solely responsible for maintaining the confidentiality of their access credentials (username and password). Any transaction or activity carried out under their account will be presumed to have been carried out by the cardholder user, who is responsible for the payment of the obligations generated. In case of suspicion of violation, the user must report it immediately to [email protected].

11. Support Conditions and Tickets

Technical support provided by RFJ Software is classified into levels: N1 Support (basic incidents and platform usage), N2 (intermediate technical configurations and databases), and N3 (specialized development and source code corrections). The basic general support included in the purchase of licenses only covers Level 1. Access to levels N2 and N3, as well as Service Level Agreements (SLA) and response times, will be strictly governed by the subscription plan or specific contract signed between the parties. When uploading information to tickets, RFJ Software guarantees its strict confidentiality.

12. Gift Cards and Moderation of Reviews

RFJ Software Gift Cards are for the exclusive use of purchasing products and services within the portal. Under no circumstances may they be redeemed for cash or transferred to bank accounts. RFJ Software is not responsible for the loss, theft, or unauthorized use of Gift Card codes once delivered. Likewise, it is prohibited to post offensive or false reviews. RFJ Software reserves the right to remove them.

13. Custom Development Projects and Confidentiality (NDA)

For custom software development services or complex consulting contracted through the portal, the specific conditions of the project, the ownership of the source code (under the Código INGENIOS of Ecuador), and the mutual confidentiality agreements (NDA) will be formalized in an independent and specific physical or digital contract. These Terms and Conditions will act as a supplementary legal framework for everything not provided for in said contract.

14. Database Administration, Management, and Maintenance (LOPDP)

In database administration, management, maintenance, optimization, or migration services for the client, the latter will act as the Data Controller and RFJ Software as the Data Processor. RFJ Software undertakes to: (a) Access the data only under the client's instructions; (b) Not apply the database for purposes other than the service; (c) Implement technical security measures to prevent data leaks; (d) Keep strict professional secrecy; (e) Delete or return temporary backups once the service is concluded. The parties will sign the corresponding Data Processing Agreement in accordance with the LOPDP of Ecuador.
